- Description
We are currently working on a senior Transaction Counsel position for a start-up leasing platform with significant backing and two established lessors.
Responsibilities
- Review draft, negotiate and manage the documentation of high profile aircraft sale, aircraft purchase, aircraft financing and other corporate projects involving multiple parties in multiple jurisdictions from the pre-contractual stages through to completion.
- Provide input and expertise to cross-functional deal teams in the initial transaction structuring process and in letters of intent and term sheets.
- Lead transactions through documentation phase to contract signature and closing;
- Co-ordinate and manage input from technical, finance, risk, asset management and commercial departments into transaction negotiation and documentation.
- Lead contract negotiations with airlines, banks, aircraft purchasers and sellers, manufacturers and maintenance providers
- Coordinate and manage input from credit, commercial and finance into transaction negotiation and documentation
- Appoint and manage external legal and tax advisors in all relevant jurisdictions
- Liaise with corporate service providers to establish and manage special purpose companies
- Manage litigation matters and dispute resolution
Requirements
- Minimum of two years’ aircraft leasing legal counsel experience
- Experience drafting and negotiating a lease agreement
- Operating lease experience
- Strong attention to detail with an ability to work across teams efficiently;
- Ability to prioritize and manage a diverse workload in international business;
- Strong analytical skills and ability to propose solutions to complex legal issues
